Governance Structure

Subscribers

Subscribers are thirty (30) dedicated appointees entrusted with safeguarding the Institute on behalf of people with disabilities in Africa. Their appointment or re-appointment occurs every four (4) years. The Annual General Meeting of Subscribers serves as the Institute's highest decision-making body, tasked with:

  1. Providing strategic direction for the Institute and its Governing Council.
  2. Reviewing and approving the Governing Council's annual report.
  3. Endorsing the audited accounts of the Institute's past financial statements.
  4. Appointing new Subscribers and Governing Council members based on the Governing Council’s recommendations.
  5. Appointing external auditors.
  6. Taking other lawful actions in the Institute’s best interest.

Governing Council

The Governing Council comprises seven (7) members appointed by Subscribers, serving a four-year term with eligibility for one additional term. The Council’s responsibilities include:

  1. Setting strategic direction and overseeing the Institute’s activities.
  2. Establishing policy frameworks.
  3. Ensuring efficient and effective resource utilisation.
  4. Approving key officer appointments within the Secretariat and various Faculties.
  5. Nominating new Governing Council members and Subscribers.
  6. Creating Sub-committees comprising Governing Council members and co-opted experts to enhance operational effectiveness.
  7. Initiating lawful measures for efficient performance and advancing the Institute's mission.

The Governing Council delegates daily management duties to the Executive Director.

Secretariat

The Secretariat consists of the Executive Director’s Office and key departments led by Senior Officers, such as the Director of Operations and Director of Finance, as determined by the Governing Council. The Executive Director oversees the Institute’s day-to-day administration.

Faculties

Faculties, established by the Governing Council, consist of expert disability professionals, social development specialists, human and disability rights lawyers, and researchers. They carry out specialised voluntary assignments under the Executive Director's supervision. Faculty expertise and membership are determined by the Governing Council.

Currently, the Institute operates two Faculties:

  1. Research Faculty: Comprising five (5) members.
  2. Policy Faculty: Comprising five (5) members.

General Consultative Meetings

The Governing Council convenes a General Consultative Meeting with representatives of persons with disabilities and relevant stakeholders from across Africa at least once every two years. These meetings foster idea exchange on critical disability issues and inform the Institute's strategic direction. They also provide a platform for reviewing the Institute’s programs, activities, and financial performance.
